Bureau of Ocean Energy Management, Regulation and Enforcement (BOEMRE) Director Michael R. Bromwich on Monday announced several key appointments to high-level positions in the two new, independent agencies that will carry out the offshore energy management and enforcement functions currently under the jurisdiction of BOEMRE. The Bureau of Ocean Energy Management (BOEM) and the Bureau of Safety and Environmental Enforcement (BSEE) will begin operating on October 1, 2011.

"I am pleased to announce my selection of a group of exceptionally qualified individuals," said Director Bromwich. "Throughout the recruitment process, we have looked for leaders who are technically skilled and experienced, and who can lead our ongoing efforts to enhance the safety of offshore exploration and production. The new leadership represents a combination of talented people from inside the agency with an exceptionally well-qualified group of people recruited from outside the agency."

BOEM will be responsible for managing development of the nation's offshore resources in an environmentally and economically responsible way. Functions will include: Leasing, Plan Administration, Environmental Studies, National Environmental Policy Act Analysis, Resource Evaluation, Economic Analysis and the Renewable Energy Program.

Some of the key leaders for BOEM will include:
  • Dr. Walter D. Cruickshank, who will serve as the BOEM Deputy Director. Dr. Cruickshank has more than 25 years of experience at the Department of Interior. He most recently served as the BOEMRE Deputy Director. He earned a Bachelor of Arts in Geological Sciences from Cornell University and Doctorate in Mineral Economics from the Pennsylvania State University.
  • Renee Orr, who will serve as BOEM's Strategic Resources Chief in BOEM. She has more than 23 years of experience with the Department of the Interior. Ms. Orr has overseen the staff implementation teams that have been at the core of the bureau's reorganization effort, and previously served as Chief of Leasing where she was responsible for the development and completion of several 5-Year Oil and Gas Leasing Programs. She earned Bachelor of Arts degrees in Economics and History from Metropolitan State College in Denver.
  • Maureen Bornholdt, who will serve as the BOEM Renewables Chief. Ms. Bornholdt has more than 27 years of experience with the Department of the Interior. She most recently served as the Project Manager for BOEMRE's Offshore Renewable Energy Program. Ms. Bornholdt earned a Bachelor of Science in Public Administration from George Mason University.
  • Ellen G. Aronson, who will serve as the BOEM Pacific Region Director. Ms. Aronson has over 33 years of experience with the Department of the Interior. She most recently served as the BOEMRE Pacific Region Director. Ms. Aronson earned a Bachelor of Arts in Liberal Arts from Sara Lawrence College and a Master's of Urban and Regional Planning from the University of Southern California.
  • Dr. James Kendall, who will serve as the BOEM Alaska Region Director. Dr. Kendall has over 27 years of experience with the Department of the Interior. He most recently served as the BOEMRE Alaska Region Director. Dr. Kendall earned a bachelor's degree in biology from Old Dominion University, Ph.D. in oceanography from Texas A&M University, and a Post-doctoral Fellowship in Marine Biology from the Hebrew University of Jerusalem, Israel. He is also a graduate of the Federal Executive Institute, Charlottesville, Virginia, and the Senior Executive Fellows Program of the John F. Kennedy School of Government at Harvard University.
  • John Rodi, who has been the Deputy Regional Director of BOEMRE's Gulf of Mexico Region since November 2007 and will serve as the BOEM Gulf of Mexico Acting Regional Director until a permanent Regional Director is selected. Mr. Rodi has more than 40 years of federal service with five different agencies. Mr. Rodi has both Bachelor and Master Degrees in Economics from Tulane University and the University of New Orleans, respectively.

BSEE will enforce safety and environmental regulations. Functions will include: All field operations including Permitting and Research, Inspections, Offshore Regulatory Programs, Oil Spill Response, and newly formed Training and Environmental Compliance functions.

Some of the key leaders for BSEE will include:
  • Charles Barbee, who will serve as the BSEE Chief of the Environmental Enforcement Division. Mr. Barbee has more than 20 years of experience with the U.S. Coast Guard. Most recently, he was the Coast Guard's program manager for both marine investigations and environmental crime. During his career, Mr. Barbee has specialized in oil spill contingency planning, pollution investigation and response, marine inspections and marine casualty investigations. He graduated and received his commission from the U.S. Coast Guard Academy and earned a Master's Degree in Organizational Management from the University of Phoenix.
  • Chris Barry, who will serve as the BSEE Director of the National Offshore Training Center. Mr. Barry currently serves as Chief of National Training and Leadership for the Federal Emergency Management Agency in the National Preparedness Directorate. He earned a Bachelor of Arts (dual) degree in Art History and Special Education and a Master of Instructional Systems Design.
  • David Moore, who will serve as the BSEE Oil Spill Response Supervisor. Mr. Moore has more than 14 years of experience with the Department of the Interior. He most recently served as the Coordinator of BOEMRE's Oil Spill Program. He earned a Master of Engineering degree from Tulane University and a Master of Urban and Regional Planning degree from the University of New Orleans.
  • Bob Brown, who will serve as the BSEE Associate Director for Administration. Mr. Brown has more than 30 years of experience at the Department of the Interior, Small Business Administration and U.S. Navy. He most recently served as the BOEMRE Associate Director for Administration and Budget and Chief Information Officer. Mr. Brown earned a Bachelor of Arts degree from Seton Hall University and pursued post-graduate studies in History at Georgetown University.
  • Lars Herbst, who will serve as the BSEE Gulf of Mexico Regional Director. Mr. Herbst has over 27 years of experience with the Department of the Interior. He most recently served as the Gulf of Mexico Regional Director for BOEMRE. He is a registered professional engineer in the State of Louisiana and earned a Bachelor of Science in Petroleum Engineering from Louisiana State University.
  • Jaron E. Ming, who will serve as the BSEE Pacific Region Director. Mr. Ming most recently served as the Pacific Region's Lead Leasing Specialist. He previously served as the Senior Policy Advisor to the Regional Director. He started his career in the federal government as a Presidential Management Fellow. Mr. Ming earned a Bachelor of Arts degree from Georgetown University, a Master of Arts degree in Marine Affairs and Policy from the University of Miami's Rosenstiel School of Marine and Atmospheric Science, and a Juris Doctorate degree from the University of Miami School of Law.
  • Mark Fesmire, who will serve as the BSEE Alaska Region Director. Mr. Fesmire most recently served in the New Mexico Energy Minerals and Natural Resources Department, where he has was the Director of the state oil and gas regulatory agency and Chairman of the Oil and Gas Commission for the past seven years. Prior to attending New Mexico State University where he received bachelor's degrees in Geological and Civil Engineering, Mr. Fesmire worked in the offshore oil fields of the Gulf of Mexico. After 12 years as a petroleum engineer, he completed Law School at the Texas Tech University School of Law. He is a Registered Professional Petroleum Engineer and Licensed Attorney.

BSEE is currently accepting applications for the Deputy Director position.

Nabors Industries announced that its wholly owned subsidiary, Nabors Industries, Inc., has priced $700 million in Senior Unsecured Notes due 2021, following the private placement offering it announced earlier Tuesday. The notes will bear interest at a rate of 4.625 percent and will be fully and unconditionally guaranteed by Nabors Industries Ltd. The notes were offered at 99.654 percent of the face value, bringing the yield to 4.668 percent. The proceeds are intended to be used for general corporate purposes, including repayment of debt. The transaction is expected to close on or about August 23, 2011.

Baker Hughes announced the pricing of $750 million aggregate principal amount of its 3.20% senior notes due August 15, 2021. Interest is payable on February 15 and August 15 of each year. The first interest payment will be made on February 15, 2012, and will consist of interest from closing to that date. The offering is expected to close on August 17, 2011, subject to customary closing conditions.

The company intends to use the net proceeds of the offering to redeem all of its outstanding 6.50% senior notes due 2013, of which an aggregate principal amount of $500 million is currently outstanding. The company will use any remaining net proceeds for general corporate purposes, which could include funding ongoing operations, business acquisitions and repurchases of the company's common stock. The net proceeds of the offering may be invested temporarily in short-term marketable securities pending such usages.

The notes to be offered have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws, and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The notes will be offered and issued only to qualified institutional buyers pursuant to Rule 144A under the Securities Act and to persons outside the United States pursuant to Regulation S.

Rowan announced that Thomas P. Burke has been appointed to serve as the Company's Chief Operating Officer, and Melanie M. Trent has been appointed to serve as Senior Vice President, Chief Administrative Officer and Corporate Secretary.

Matt Ralls, Rowan's President and Chief Executive Officer, commented, "We are delighted to announce these two new positions with the Company. I believe Tom's strong qualifications and leadership will help ensure Rowan's continued success, as we seek to further grow and diversify our offshore drilling business. While at LeTourneau, Tom successfully implemented many organizational and operational improvements, and was a key factor in the sale of that business to Joy Global. Likewise, Melanie provided invaluable leadership in our recent divestiture processes and will strengthen both our Human Resources and Information Technology efforts with her strong organization skills. I am confident that these two appointments will be great additions to the strong Rowan management team and look forward to Tom and Melanie's contributions to Rowan's future success."

Mr. Burke, who joined the Company in December 2009, previously served as the President and Chief Executive Officer of the Company's manufacturing subsidiary, LeTourneau Technologies, Inc., which was sold to Joy Global in June 2011. Prior to such time, he was employed by Complete Production Services, an oilfield services company, as a Division President from 2006 to 2009, and as Vice President Corporate Development from 2004 to 2006. Before joining Complete Production, Mr. Burke held various positions at Schlumberger Limited and McKinsey & Company.

Ms. Trent joined the Company in 2005 and served most recently as Vice President & Corporate Secretary, assisting in the Company's securities, corporate governance and transactional legal work.

Rowan also announced that David Russell, Executive Vice President of Drilling Operations, is leaving the Company to pursue other interests. Mr. Ralls said, "I respect David's decision to pursue other opportunities, but I am very sorry to see him leave. David has been with Rowan nearly 29 years and has been instrumental as a senior executive in the company's success and evolution. His leadership and many contributions will be sorely missed. Speaking for the Board of Directors and myself, I want to extend heartfelt gratitude to David for all he's done for Rowan and wish him continued success in his future endeavors."

W&T Offshore has priced at par its private offering of $600 million aggregate principal amount of 8.5% senior notes due 2019 (the "Senior Notes"). The offering is expected to close on June 10, 2011, subject to customary closing conditions.

W&T Offshore intends to use the net proceeds from the Senior Notes offering to fund the purchase price of its cash tender offer (the "Tender Offer") for any and all 8.25% senior notes due 2014 (the "2014 Notes"). To the extent less than all of the outstanding 2014 Notes are tendered or the Tender Offer is not consummated, W&T Offshore will use the net proceeds from the Senior Notes offering to redeem or repurchase any or all of the 2014 Notes remaining outstanding. The remaining net proceeds will be used to repay outstanding indebtedness incurred under its revolving bank credit facility that was used to fund a portion of its recent acquisition in the West Texas Permian Basin.

CAMAC announced the appointment of Edward G. Caminos as Senior Vice President and Chief Financial Officer of the Company, effective as of July 1, 2011, and the appointment of Alan W. Halsey as Senior Vice President, Exploration and Production, of the Company, effective as of June 6, 2011.

Mr. Caminos, 48, has been Chief Financial Officer of BPZ Resources since May 2007. From October 2006 until May 2007, Mr. Caminos served as BPZ's Vice President - Finance and Chief Accounting Officer. Mr. Caminos served as BPZ's interim Chief Financial Officer from June 2006 until October 2006 and as Corporate Controller of BPZ from January 2005 until October 2006. During the 15 years prior to joining BPZ, Mr. Caminos gained valuable experience in the energy sector through various managerial level roles including, Director—Financial Reporting for the Americas Division at Duke Energy, Financial Reporting Manager and, prior to its sale, as interim Controller for Reliant Energy Europe Divisions, and Regional Controller – Latin America for the seismic division of Schlumberger. Mr. Caminos began his career with the international accounting firm KPMG Peat Marwick Main.

Mr. Caminos is a Certified Public Accountant and graduated from Bloomsburg University of Pennsylvania, with a Bachelor's degree in Business Administration — Accounting, in 1984.

Mr. Halsey, 61, joined the Company as its Senior Vice President, Exploration & Production, on June 6, 2011. Prior to joining the Company, he managed his private investment interests after leaving Transmeridian Exploration in 2008, where he had served as Vice President and Chief Operating Officer for this company that had producing assets in Kazakhstan and other exploration interests in the former Soviet Union. He joined Transmeridian in 2006 following a short hiatus after taking early retirement from Texaco Inc. in 2002, where he had served for almost 21 years in positions of increasing responsibility that included Chief Petroleum Engineer for Texaco's Latin America/West Africa group in Miami and, most recently, Chairman and Managing Director of the Texaco Upstream Companies in Nigeria. Prior to that time he served as President of Texaco's affiliate in Colombia, South America and as General Manager of Texaco's Angola oil and gas operations. Mr. Halsey graduated from Imperial College of Science and Technology, University of London with a degree in Oil Technology in 1971 and subsequently worked in Latin America, USA and the North Sea before joining Texaco in 1981.

OGX in compliance with the Instruction of Comissão de Valores Mobiliários (CVM) announced the issuance of Senior Unsecured Notes totaling US $2.563 billion. The Notes issued on May 26, 2011 are due and payable by the Company on June 1, 2018 and will accrue interest at rate of 8.5% per annum, payable semi-annually, in June and December.

The Notes will be offered to qualified institutional buyers (QIBs), resident and domiciled in the United States, in accordance with the provisions of "Rule 144A" of the Securities Act of 1933, as amended, and in other countries except the United States and Brazil, based on "Regulation S".

When added to OGX’s current cash position of approximately US $2.5 billion (as of March 31, 2011), the net proceeds from the issuance Notes provide a liquidity of approximately US $5.063 billion, at a level which is sufficient for OGX to support the exploratory campaign and the production development of the discoveries made until the Company becomes self-funded by its own cash flow generation.

"This funding provides the necessary capital for the development of OGX's sizable discoveries that were made in an unprecedented time frame for the oil and gas sector. OGX now has the natural, financial, human and physical resources to implement its business plan," declared Paulo Mendonça, General Executive Officer and Exploration Officer for OGX.

Vantage announced that its wholly-owned subsidiary Offshore Group Investment Limited (the "Issuer") intends to offer, subject to market and other conditions, $225.0 million in aggregate principal amount of 11 ½% Senior Secured First Lien Notes due 2015. The Notes will be offered as additional notes, commonly referred to as a "tack-on bond," under the indenture pursuant to which the Issuer previously issued $1.0 billion of 11 ½% Senior Secured First Lien Notes due 2015 in July 2010. The Notes will be guaranteed by Vantage and each of Issuer's existing and future subsidiaries and by certain of Vantage's other subsidiaries, and will be senior secured obligations of the Issuer and the guarantors.

The Issuer expects to use the net proceeds from this offering, if completed, to purchase from Vantage the wholly-owned subsidiaries of Vantage which own the Aquamarine Driller and related drilling contracts (the "Acquisition"), as well as for general corporate purposes. Vantage expects to use the proceeds from the Acquisition to (i) repay and terminate its outstanding term loan secured by the Aquamarine Driller, (ii) make the initial payment to Daewoo Shipbuilding and Marine Engineering Co., Ltd under Vantage's recently announced construction contract for an ultra-deepwater drillship, to be named the Tungsten Explorer and (iii) for general corporate purposes.

Magnum Hunter Resources Corp. announced Wednesday the appointment of Presidents for each of the Company's three primary areas of geographic operations: (i) the Williston Basin, (ii) the Appalachian Basin, and (iii) the Eagle Ford Shale of Central and South Texas.

The appointment of these three new Divisional Presidents follows the tremendous growth Magnum Hunter has experienced with the recent closings of both the NGAS Resources acquisition on April 13, 2011 and the NuLoch Resources acquisition on May 3, 2011 which total in excess of $425 Million.

R. Glenn Dawson, President, Williston Hunter, Inc.

R. Glenn Dawson has been appointed President of the Company's Williston Basin Division and will work out of Magnum Hunter's new Denver, Colorado office as well as Calgary, Alberta. He joins the Company from NuLoch Resources where he previously served as President and CEO.

Dawson graduated in 1980 from Weber State University of Utah with a bachelor's degree in geology and attended the University of Calgary from 1980 to 1982 in the Masters Program for Geology.

In the early stages of his career, Dawson was employed as an exploration geologist by Sundance Oil and Gas, Inc., a public company located in Denver, Colorado, concentrating on their Canadian operations. From December 1985 to September 1998, Dawson held a variety of managerial and technical positions with Summit, including Vice President of Exploration, Exploration Manager and Chief Geologist.

Dawson held the position of Vice President of Exploration with PanAtlas from 1999 until its acquisition by Velvet. Mr. Dawson was a co-founder of TriLoch in 2001, which ultimately became NuLoch Resources, Inc. He has over 20 years of experience in oil and gas exploration in North America. His principal responsibilities have involved the generation and evaluation of drilling prospects and production acquisition opportunities.

James W. Denny III, President, Triad Hunter, LLC

Jim Denny has been reappointed President of Magnum Hunter's Appalachian Basin Division through its wholly owned subsidiary, Triad Hunter, LLC. Denny has served as President of Triad Hunter, LLC since the acquisition of the assets of privately-held Triad Energy Corporation out of bankruptcy in February 2010. With the April 13, 2011 acquisition of NGAS Resources, Denny became responsible for managing and integrating the operations of NGAS into Triad Hunter.

Denny has more than 40 years of industry experience having served as President and CEO of Gulf Energy Management, a wholly owned subsidiary of Harken Energy Corporation. He is a registered Professional Engineer (Louisiana) and is a Certified Earth Scientist.

Denny is also a member of various industry associations, including the American Petroleum Institute, National Society of Professional Engineers, Society of Petroleum Engineers, and the Society of Petroleum Evaluation Engineers. He is a graduate of the University of Louisiana-Lafayette with a bachelor's degree in petroleum engineering.

H.C. "Kip" Ferguson III, President, Eagle Ford Hunter, Inc.

H.C. "Kip" Ferguson III has been appointed President of the Company's Eagle Ford Shale Division, now called Eagle Ford Hunter, Inc. (formerly Sharon Hunter, Inc.). He will be responsible for all of Magnum Hunter's operational activities in the oil window of the Eagle Ford Shale play located in Central and South Texas where the Company is extremely active.

Ferguson was formerly President of Sharon Resources, Inc. and joined the Company as Executive Vice President of Exploration on September 30, 2009 with the acquisition of Sharon Resources by Magnum Hunter. Ferguson brings more than 20 years of exploration and development experience in several major U.S. basins, and is a third generation geologist and holds a bachelor's degree in geology from the University of Texas at Austin.

Endeavour announced that it is redeeming all of its outstanding $81.25 million of 6% Senior Notes due 2012 (the "Notes") with a portion of the proceeds from its recently completed offering of common stock. The redemption will be made in accordance with the terms of the indenture governing the Notes.

Endeavour expects to redeem the Notes on or about April 20, 2011 (the "Redemption Date") at a redemption price of 100% of their principal amount, plus accrued and unpaid interest to the Redemption Date.
