Cairn Energy CEO Steps Down amid Sweeping Board Changes

- Cairn Energy CEO Steps Down amid Sweeping Board Changes

Thursday, June 16, 2011
Dow Jones Newswires
LONDON
by Alexis Flynn

Cairn announced a sweeping overhaul of its senior management team, as the company looks to strengthen its exploration emphasis following the expected completion of a delayed transaction in India.

Cairn said its founder and long-standing chief executive, Sir Bill Gammell, will relinquish his position at the helm of the Edinburgh-based oil and gas explorer in favor of Legal and Commercial Director Simon Thomson. Gammell will in turn replace Norman Murray as chairman, who leaves to take up the same position at oil and gas services company Petrofac Ltd. (PFC.LN).

Two other board members will also step down. The company will retain some other figures, including Deputy Chief Executive Mike Watts, a leader in its exploration venture.

The changes come amid expectations that Cairn will soon close a deal to sell a majority stake in its India unit to Vedanta Resources. The time-frame of the Vedanta deal, worth about $9.6 billion in cash, has been delayed amid a royalty dispute with the Indian government. Indian Oil Minister Jaipal Reddy said recently the matter could be discussed at a cabinet meeting later this month.

Following the reorganization, Gammell, 58, will retain his position as chairman of Cairn India, tasked with overseeing the successful conclusion of the company's India deal.

In addition to the change to the firm's top leadership, Cairn said two other board members would be stepping down. Chief Operating Officer Malcolm Thoms and Engineering and Operations Director Philip Tracy will also depart, said Cairn.

Finance Director Jann Brown will take up the position of managing director, reporting to new CEO Thomson.

"Cairn's key strength of entrepreneurial exploration remains the focus, offering investors significant growth potential in combination with underlying asset value and balance sheet strength," said Thomson.

Cairn shares were lower in line with other U.K. oil producers following the announcement. At 1107 GMT, they were down 8 pence, or 1.9%, at 403p, underperforming the broader FTSE 100 index, which was down 1.1%.

Deutsche Bank said it viewed the changes "to be a constructive step forward that is focused on energizing the group for its next steps of growth."

Deutsche highlighted the fact that Watts will remain as a positive. Watts has been the architect of Cairn's Greenland operations, where the company is currently drilling exploratory offshore wells.

Chesapeake Energy CEO Re-Elected to Board as Chairman

- Chesapeake Energy CEO Re-Elected to Board as Chairman

Monday, June 13, 2011
Dow Jones Newswires
HOUSTON (Dow Jones Newswires)
by Ryan Dezember

Chesapeake Chief Executive Aubrey McClendon was re-elected Friday as chairman of the Oklahoma City energy producer, though the voting results showed a significant decline in shareholder support for one of the highest paid executives in the U.S.

McClendon, who had come under fire from an influential advisory firm that called for his ouster from the board, garnered about 78% of the votes cast at Chesapeake's annual shareholder meeting. Friday's vote ensures the 51-year-old executive will remain chairman into 2014, but the results signal diminished shareholder support for McClendon, who received more than 96% of the vote in 2008, the last time he stood for re-election to the board.

"This is a remarkable level of opposition," said Carol Bowie, head of compensation policy at Institutional Shareholder Services, the proxy advisory service that called for McClendon's departure from the board. Corporate board elections rarely yield opposition greater than 10%, Bowie said.

Chesapeake spokesman Jim Gipson said the vote shows "overwhelming support for management and for our board." He added that in 2008, McClendon's nearly unanimous re-election came as the company's stock climbed to a record high of $74 on historically high natural gas prices. Chesapeake shares traded Friday at $29.34, off 1.41% amid broader market declines.

McClendon, who helped found Chesapeake in 1989 and build it into the second-largest natural gas producer in the U.S., has been one of the highest paid executives in any sector in recent years, collecting compensation valued at more than $152 million since 2008. His 2010 pay package was valued at more than $21 million, according to securities filings.

ISS recommended shareholders remove McClendon from the board, citing an executive compensation system that is not tied to performance standards.

On Thursday, just ahead of the meeting, Chesapeake seemed to cave in to some of ISS's pressure, when it announced it hired an "independent compensation consultant" and committed to implement a pay system recommended by that firm that "includes objective performance criteria."

On Friday, Chesapeake's shareholders narrowly approved the company's executive compensation plan, giving the proposal about 58% of the vote, indicating widespread shareholder discontent.

As required under the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010, corporations must now provide shareholders with a nonbinding advisory vote on the compensation of named executive officers. So far, opposition to pay plans has been rare. According to ISS, shareholders have opposed proposals at only 31 companies out of 2,230 that had held votes by June 1.

In a separate tally, shareholders overwhelmingly asked that the plan be reviewed annually, following the board's recommendation.

Petrobras' Board of Directors has approved the bidding process for the construction of up to twenty-one drilling rigs to be built in Brazil. Drilling contractors that are awarded a contract to build a rig will also be awarded a contract with Petrobras for the chartering of the unit. Each participating company can bid to build as few as one rig or as many as twenty-one rigs. The drilling units must be built using local content as certified by the ANP.

This tender is part of Petrobras' overall strategy to hire up to twenty-eight new rigs to be built in Brazil for deepwater exploration primarily in pre-salt fields.

Earlier this year, Petrobras awarded a rig construction package to Sete Brasil for the construction of seven deepwater drillships. These rigs will be built by Estaleiro Atlantico Sul, a consortium made up of Samsung Heavy Industries, Queiroz Galvao and Camargo Correa.

The Conference Board's Consumer Confidence Index Declines to 60.8 in May

- The Conference Board's Consumer Confidence Index Declines to 60.8 in May

May 31, 2011

The Conference Board's consumer confidence index decreased to 60.8 in May, down from 66.0 in April. Economists had expected an increase to 67.5 for May.

The present situation index declined to 39.3 from 40.2, and the index for future expectations declined to 75.2 from 83.2 last month.

The cutoff date for these preliminary results for the month was May 18, 2011.

Lynn Franco, Director of The Conference Board Consumer Research Center commented: "A more pessimistic outlook is the primary reason for this month's decline in consumer confidence. Consumers are considerably more apprehensive about future business and labor market conditions as well as their income prospects. Inflation concerns, which had eased last month, have picked up once again. On the other hand, consumers' assessment of current conditions declined only modestly, suggesting no significant pickup or deterioration in the pace of growth."

The proportion of consumers expected business conditions to improve over the next six months declined to 17% form 19.2%, with those expected conditions to worsen increased to 15.5% from April's 14.0%.

- Tombstone Exploration Welcomes New Member to Board

Tuesday, May 24, 2011
Tombstone Exploration Corp.

Tombstone Exploration announced that Mr. Laird Cagan has been appointed to the TMBXF Board of Directors.

Mr. Cagan is Managing Director and co-founder of Cagan McAfee Capital Partners, LLC, ("CMCP"), a private investment firm and merchant bank, as well as its predecessor firm, Cagan Capital, LLC. In the '90's, Cagan Capital invested in and helped build 15 high tech companies with over $500 million of equity capital invested in those companies. Since 2000, CMCP has founded, funded and taken public 10 companies in a variety of industries including energy, alternative energy, healthcare, information technologies and environmental. CMCP portfolio companies have raised over $600 million of equity capital and over $2 billion of capital has been invested in those companies or their projects.

Mr. Cagan was the Founder/Chairman of Evolution Petroleum Corporation (EPM), which develops mature oil & gas fields with advanced technologies, and is a former founding director of AE BioFuels (AEBF) and Pacific Asia Petroleum (PAP). He is also a Registered Representative of Colorado Financial Services Corporation (Member FINRA/SIPC) and holds Series 7, 63 and 24 licenses. CMCP is not affiliated with CFSC.

Mr. Cagan previously worked for two of the largest investment banks in the world, Goldman, Sachs & Co. and Drexel Burnham Lambert. He is also a graduate of the UCLA Director's Training Program.

Cagan stated, "Tombstone controls the mineral resources under a large acreage in an historically prolific mining area in Southern Arizona. Existing testing results show significant promise for a potentially large mineral resource. It is an exciting opportunity for me to be involved at this point in the development of this project. I see parallels with several of the companies I co-founded which developed into AMEX-listed companies. These companies had energy resources with significant initial potential and after accessing development capital, entered into development deals with a large strategic partner to build out the resource."

Alan Brown, President of TMBXF, stated, "We are extremely pleased to announce the appointment of Laird to our Board of Directors. His past experience will be an asset to our company and we look forward to working with him. Laird has had considerable success helping and advising previous firms that he was associated with in raising expansion capital. This experience will be of great value to TMBXF, as we move to the next stage."
