Volkswagen (ETR:VOW) says on Thursday it's planned merger with Porsche (ETR:PAH3) will not go through as planned, at least not yet.

The company said the merger could not be implemented within the time frame agreed upon due to uncertainty of the economy, legal hurdles, as well as proper valuation of Porsche.

In the announcement the company said, "From Volkswagen's perspective, the continuing legal hurdles mean that it is currently impossible to quantify the economic risks of a merger and therefore to perform the valuation of Porsche SE required to determine the exchange ratio. The main causes of uncertainty are the ongoing proceedings and actions brought against Porsche SE in Germany and the USA for alleged market manipulation. According to the information currently available, these legal hurdles are no longer expected to be removed in time. One factor influencing the Board of Management's assessment was an indication by the Stuttgart public prosecutors of the length of time needed for the preliminary investigations."

In the coming weeks, members of Volkswagen's Board of Management will analyze whether there are other potential avenues to explore to complete the agreement. Both companies still believe the planned merger will continue at a later time

ConocoPhillips China (NYSE:COP) has completed the shutdown of its Bohai oilfield operations, as ordered by China marine authority.

The company says it will continue to work with CNNOC (NYSE:CEO), which holds a 51% stake of in the oil field, to develop a plan to reduce reservoir pressure to ensure the safety of the field

ConocoPhillips (NYSE:COP) has a potential upside of 24.6% based on a current price of $66.44 and an average consensus analyst price target of $82.8.

Charlie Schrock, Integrys Chairman, President and Chief Executive Officer said, "Expansion into this business is consistent with our mission of providing customers with the best value in energy and related services. Our decision to enter this market is in response to customer needs, and this is complementary to our existing skill sets in regulated and nonregulated natural gas and electric services."

The summer of 2011 could not have a much more dramatic close as a major hurricane hurled up toward the U.S. East Coast on the heels of a rare earthquake, the U.S. summer driving season closes with the Labor Day holiday, and Libyan rebels appear to be taking over Tripoli.

How will major refineries and pipelines along the East Coast be affected by the hurricane? How will holiday driving plans proceed, amid what OPEC is terming the gathering "dark clouds of recession?" How long will take to see the effects of the Libyan situation play out on the oil market? And when it does, will the roughly 1.2 million barrels per day (mbpd) of oil that Gaddafi's Libya typically produced be welcomed back, by rebounding economies thirsty anew for more? Or, will it be almost like a "white elephant," in American vernacular, that is, almost excess in a recessionary market?

The answers: Nobody really knows, of course.

But what is evident, looking back over the summer, is that nobody who usually "calls" the market has done so with much confidence for months. On a day-to-day basis, prices have recently just eased up or down, depending upon the news of that day. While that in itself isn't unusual, the activity of late has been relatively static, with price moves fluctuating within a few dollars per day, and sometimes dancing around a dime or so of the previous day's price.

The U.S. Energy Information Administration (EIA), for instance, noted that West Texas Intermediate (WTI) had risen only by $2.92 per barrel from a week earlier on Friday Aug. 26 – with a major hurricane approaching – and was up $12.78 from a year earlier. This increase over last year came despite large drops during the summer driving season, which mostly came in small day-to-day increments. WTI crude oil spot prices fell from an average of $110 per barrel in April to $97 per barrel in July, EIA noted. During the first week of August, world crude oil prices fell by about $10 per barrel, reflecting market concerns about world economic and oil demand growth, the agency said.

Market Remains Tight

Despite the woebegone worries about the world slipping into recession again, with corresponding demand cutbacks, the thing to bear in mind is that demand is still growing. It's just that OPEC, the International Energy Agency (IEA), EIA and other leading analysts are cutting back the pace of demand growth to reflect lagging economic performance, along with debt woes in both Europe and the U.S.

"We are still expected to remain near record levels of demand," said John Feldman, chief economist of the American Petroleum Institute, in an interview with Rigzone. "It's still a limited supply market. Libya resuming production should be helpful." He observed that Libya's internal strife took a "relatively small proportion" (about 1.2 mbpd) off the market, but had "disproportionate" effects. This was one reason why the IEA eventually called for member nations, including the U.S., to contribute to the market from emergency stockpiles.

For once, OPEC could not just turn up the oil taps after the organization had a rift in June. Specifically, Saudi Arabia, Kuwait and the United Arab Emirates voted to increase output as early summer demand kept roaring – and Libya's contribution, disproportionately felt, perhaps – stayed off the market. The other OPEC members, meanwhile, voted against hiking production. Because even the Middle East couldn't bring on sought-after light oil production right away, IEA member nations contributed some 60 million barrels to the supply equation.

"It made sense," Feldman continued, "That [Middle East and other] producers would have sold their light, sweet crude varieties first."

Looking ahead, EIA said that it "still expects oil markets to tighten as growing liquid fuels demand in emerging economies continues to outpace supply growth with continuing upward pressure on oil prices." EIA forecasts that WTI spot prices, which averaged $79 per barrel in 2010, will average $96 per barrel in 2011 and $101 per barrel in 2012.

Halliburton (NYSE:HAL) plans to hire 11,000 workers in North America in 2011, according to a top executive who told Jim Cramer on CNBC's Mad Money on Wednesday.

The president of the Western Hemisphere, Jim Brown said many of the new hires will be sent to North Dakota's oil-rich Bakken shale, which is one of the largest oil finds in the U.S.

Brown commented, "If you have a willingness to work and an aptitude to learn with a high school education, within a year-and-a-half to two years, you can become a front-line supervisor. That job will pay $125,000 to $130,000 a year. It's a tremendous opportunity. You gotta come to North Dakota, but what we're doing here, we're replicating across the nation."

Halliburton (NYSE:HAL) has a potential upside of 79.6% based on a current price of $40.27 and an average consensus analyst price target of $72.31.

Timing of the launch of the first vehicles resulting from the partnership will be announced closer to market readiness. The agreement does not involve an exchange of equity between the companies.

Royal Dutch Shell (NYSE:RDS.A) is trying to stop an oil spill leak in the North Sea.

In the first phase of the operation to shut down the leak, engineers have lowered five giant concrete "blankets" on to a stretch of pipeline to place it back on the seabed after it lifted 4 feet off the sea floor.

Work is ongoing to lay concrete blankets to secure the pipeline, Shell spokesman Steve Harris said.

"First, we have to make a risk assessment ... to make sure that we can find a safe way to shut it off. We expect the result of the risk assessment very quickly and then divers will go down 300 feet (90 meters) and turn off the remaining amount of oil that is leaking into the sea."

Nearly 1,300 barrels of oil has leaked from its Gannet Alpha platform since August 12.

Noble Energy (NYSE:NBL) agreed to pay $3.4 billion to Consol Energy (NYSE:CNX) for a 50% interest in Consol's Marcellus Shale assets.

The two companies will create a joint venture to develop Consol's 663,350 acres in the region.

In early trading, Consol rose $1.80, or 4.24%, to $42.22. In spite of the deal between Consol and Noble, most companies with property in the Marcellus region are declining along with the broader market.

Grizzly Oil Sands, and independent oil sands company, has awarded a $4 million order to Rockwell (NYSE:ROK) and its Global Solutions team.

Global Solutions will use the company's PlantPax process automation system to help Grizzly produce more than 5,000 barrels of oil per day at the first phase of its Algar Lake Project.

The solution supports steam-assisted gravity drainage, an enhanced oil recovery technology for producing heavy crude oil and bitumen.

Rockwell Automation is currently below its 50-day moving average (MA) of $77.93 and below its 200-day MA of $79.74.

NRG Energy Inc. (NYSE:NRG) plans to purchase a Philadelphia retail electricity and natural-gas provider for $190 million in cash.

Based in Princeton, New Jersey NRG announced Tuesday that acquiring Energy Plus Holdings LLC would give the company an opportunity to widen its retail business in the Northeast.

The deal requires regulatory approvals from the Justice Department and the Federal Energy Regulatory Commission. It is expected to close in October.

NRG Energy (NYSE:NRG) has a potential upside of 21.1% based on a current price of $22.57 and an average consensus analyst price target of $27.33.

Progress Energy (NYSE:PGN) reported Q2 EPS of $0.71, ahead of consensus estimates of $0.64 per share. Revenues for the quarter fell 4.9% year-over-year to $2.26 billion, missing consensus estimates of $2.29 billion.

The company sees 2011 EPS of $3.00 to $3.12, vs. consensus estimates of $3.13 per share.

Bill Johnson, Progress Energy chairman, president and CEO said, "Favorable weather in the second quarter, coupled with continued financial discipline within the company, helped us successfully deliver on our earnings per share goal for the first half of the year. "We continue to feel the effects of a challenging economy in our service area, but we remain focused on managing the business effectively and making wise investments to meet our customers' needs today and in the future, as we prepare for our pending merger with Duke Energy."

The company is increasing its share purchases by an additional $250 million.

Constellation Energy (NYSE:CEG) reported Q2 adjusted EPS of $0.76, less than the analyst estimates of $0.85 per share. Revenues for the quarter rose 1.5% year-over-year to $3.35 billion, missing consensus estimates of $3.86 billion.

The company lowered its 2011 earnings guidance range by $0.05 to $3.05 to $3.35 per share, reflecting the combined effects of longer-than-expected outages at their nuclear joint venture facilities and the impact of our recent acquisitions in the competitive residential electric market. In light of the pending merger with Exelon, the company is no longer providing earnings guidance for 2012.

Ford Motor Co.(NYSE:F) announced that it is recalling 1.1 million pickup trucks because the gas tanks can fall off and start a fire.

The company is recalling specific Ford F-150, F-250 and Lincoln Blackwood pickups. The recall affects certain models from the 1997 model year through the 2004 model year. They were sold in cold-weather states that use salt to clear roads. That salt can decay the straps holding the tanks in place.

The National Highway Traffic Safety Administration reported Monday on its website that the straps holding up the tanks can rust, causing them to fall to the ground. The tanks can then rupture and start a fire.

Ford reported eight separate incidents, resulting in three injuries.

Ford's F-Series pickup is traditionally the top selling vehicle in the U.S.

Ford Motor has a potential upside of 61.1% based on a current price of $12.36 and an average consensus analyst price target of $19.91.

The Detroit News reported that General Motors (NYSE:GM) has begun production of the Chevrolet Sonic at its Orion Assembly Plant. The company's executive director for global and North American Manufacturing Engineering made the announcement today.

Ken Knight, executive director for global and North America Manufacturing Engineering for GM, said "We started our regular production today -- two-and-a-half hours ago. Since, my phone hasn't rung off the hook. I think we are doing well."

General Motors (NYSE:GM) has a potential upside of 56.3% based on a current price of $27.81 and an average consensus analyst price target of $43.45.

President Obama announced an agreement with thirteen major automakers to track the next phase in the Administration's national vehicle program, increasing fuel economy to 54.5 miles per gallon for cars and light-duty trucks by Model Year 2025.

The President was joined by Ford (F), GM (GM), Chrysler, BMW, Honda (HMC), Hyundai, Jaguar/Land Rover, Kia, Mazda, Mitsubishi, Nissan (NSANY), Toyota (TM) and Volvo, which together account for over 90% of all vehicles sold in the United States, as well as the United Auto Workers, and the State of California.

Building on earlier agreements for Model Years 2012-2016 vehicles, which will raise fuel efficiency to 35.5 mpg, the next round of standards will require performance equivalent to 54.5 mpg or 163 grams/ mile of CO2 for cars and light-duty trucks by Model Year 2025.

The price of oil dropped $96 a barrel on Friday after the U.S. government said the economy is at an insufficient 1.3% annual rate in the Q2.

The data raised questions about demand for oil over the months. The Commerce Department also revised the January to March figures to display growth in the first six months was the weakest since the recession ended two years ago.

Oil prices have varied over the month, from $94.90 a barrel on July 1 to 98.87 on July 22 before making another fall.
